เมื่อกล่าวถึงโลกที่ศิลปะกลายเป็นสิ่งที่ทุกคนสามารถจับต้องและเข้าถึงได้ง่ายขึ้น รวมถึงสร้างและขายต่อกันได้ง่าย ๆ ในรูปข้อมูลอิเล็กทรอกนิกส์ คงหนีไม่พ้นจากคำว่า NFT ที่กำลังถูกพูดถึงอย่างมากในปัจจุบัน ในวันนี้ 2Ext จะพาทุกคนมารู้จัก NFT ให้มากขึ้นในมุมมองต่าง ๆ ที่น่าสนใจ
NFT หรือ Non-Fungible Token คือโทเคนที่อ้างอิงอยู่กับทรัพย์สินที่มีความเฉพาะตัว และ NFT ยังถือเป็นโทเคนดิจิทัลตามความหมายที่กำหนดไว้ในกฎหมายการประกอบธุรกิจสินทรัพย์ดิจิทัลอีกด้วย นอกจากนี้ ในประกาศ ก.ล.ต. ที่ กธ. 18/2564 ได้กล่าวถึงลักษณะของ NFT ไว้ว่า “โทเคนดิจิทัลที่เกิดจากการนำเทคโนโลยีมาใช้แสดงความเป็นเจ้าของหรือให้สิทธิในสิ่งใดสิ่งหนึ่ง หรือที่เฉพาะเจาะจง โดยไม่สามารถใช้โทเคนดิจิทัลประเภทและชนิดเดียวกัน และจำนวนเท่ากันแทนกันได้” ซึ่งเราอาจมองได้ว่าเป็นการให้นิยามของ NFT เอาไว้ในทางหนึ่งได้เช่นกัน
การถือครอง NFT ย่อมแสดงถึงความเป็นเจ้าของทรัพย์สินที่ถูกอ้างอิงไว้บนระบบเทคโนโลยี Blockchain เนื่องจาก NFT ได้ถูกสร้างขึ้น (“Mint”) จากการนำเอาสิ่งต่าง ๆ มาแปลงให้อยู่ในรูปลักษณ์ดิจิทัล (Digital collectibles) ทั้งนี้ ไม่ว่าสิ่งต่าง ๆ เหล่านั้นจะมาจากสิ่งที่ที่จับต้องได้ในทางกายภาพ (physical) หรืออยู่ในรูปลักษณ์ทางดิจิทัลก็ตาม เช่น ภาพวาด รูปถ่าย ของสะสม เป็นต้น
สิ่งที่ทำให้ NFT น่าสนใจ คือ กระบวนต่าง ๆ ตั้งแต่การสร้างจนถึงการเปลี่ยนความเป็นเจ้าของนั้นถูกจัดเก็บข้อมูลเอาไว้บน Blockchain ซึ่งทำให้เกิดความโปร่งใส น่าเชื่อถือ และสามารถติดตาม (track) พิสูจน์ทราบได้ว่าใครคือผู้สร้างสรรค์ผลงาน NFT ขึ้นมาในระบบ (Authentication) และติดตามได้ว่า NFT ได้ถูกส่งต่อไปยังใครแล้วบ้าง อีกทั้ง ผู้สร้างสามารถกำหนดจำนวนหรือปริมาณของ NFT เพื่อให้เกิดมูลค่าในเชิงเศรษฐศาสตร์ (Scarcity) ได้อีกด้วย NFT จึงเป็นอีกช่องทางหนึ่งในการสร้างรายได้ที่มากขึ้นให้แก่ผู้สร้างสรรค์ผลงานศิลปะ (Maximizing Earnings)
เมื่อกล่าวถึงมุมมองในด้านกฎหมาย NFT ถือเป็น Utility Token พร้อมใช้ ที่ไม่อยู่ภายใต้การกำกับดูแลของ ก.ล.ต. ทำให้ในปัจจุบัน เราสามารถสร้างและเสนอขาย NFT กันได้โดยไม่อยู่ภายใต้ประกาศคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ ที่ กจ. 15/2561 เรื่อง การเสนอขายโทเคนดิจิทัลต่อประชาชน
อย่างไรก็ดี ยังมีประเด็นที่ท้าทายสำหรับ NFT ค่อนข้างมาก เช่น การแอบอ้างนำผลงาน NFT ของผู้อื่นไปออกและเสนอขายลงใน NFT Marketplace, การพิสูจน์ถึงความมีอยู่จริงของ Physical Objects ที่ NFT ใช้อ้างอิง, การขออนุญาตประกอบธุรกิจ NFT Marketplace หรือ การนำเอาผลงานชิ้นหนึ่งไปสร้างเป็น NFT ในหลาย platform เป็นต้น อีกทั้ง ก.ล.ต. ยังได้ออกประกาศห้ามมิให้นำ NFT มาซื้อขายในศูนย์ซื้อขายสินทรัพย์ดิจิทัล จึงทำให้ในปัจจุบันเรายังไม่เห็นการซื้อขาย NFT ใน Exchange ที่ได้รับอนุญาตโดย ก.ล.ต. นั่นเอง
นอกจากนี้ ยังมีกฎหมายที่เกี่ยวข้องกับ NFT อย่างหลีกเลี่ยงไม่ได้อย่างกฎหมายลิขสิทธิ์ (Copyright) ซึ่งนักกฎหมายส่วนใหญ่เห็นว่าการถือครอง NFT ไม่ได้แสดงถึงการมีลิขสิทธิ์ในผลงานเสมอไป เนื่องจากผู้สร้างสรรค์ผลงานมีสิทธิเฉพาะตัวที่ใช้งานลิขสิทธิ์ในผลงานของตนเอง รวมถึงมีอำนาจตัดสินใจว่าจะโอนลิขสิทธิ์ในผลงานของตนไปให้ผู้อื่นหรือไม่ก็ได้ ซึ่งในการโอนลิขสิทธิ์ไปให้ผู้อื่นก็จะต้องดำเนินการตามขั้นตอนที่กำหนดไว้ในกฎหมาย คือการทำเป็นหนังสือลงลายมือชื่อผู้โอนและผู้รับโอนลิขสิทธิ์นั่นเอง
ดังนั้นแล้ว จึงเป็นความท้าทายอย่างยิ่งที่ผู้ซื้อและผู้ขาย NFT ใน Marketplace จะต้องรู้วิธีดำเนินการเพื่อให้การซื้อขาย NFT แต่ละครั้งสามารถโอนลิขสิทธิ์จากผู้สร้างสรรค์หรือผู้ขายไปยังผู้ซื้อได้อย่างสมบูรณ์
อย่างไรก็ตาม ไม่ใช่ว่าผู้ซื้อและผู้ขาย NFT จะต้องทำสัญญาโอนลิขสิทธิ์เป็นลายลักษณ์อักษรบนกระดาษต่อกันเสมอไป เมื่อเราอยู่ในโลกที่ขับเคลื่อนด้วยการเติบโตทางเทคโนโลยี และการมีอยู่ของกฎหมายธุรกรรมทางอิเล็กทรอนิกส์ จะเห็นว่าในปัจจุบัน กฎหมายได้รองรับ E-Document และ E-Signature เอาไว้แล้ว ทำให้ข้อมูลอิเล็กทรอนิกส์ที่ทำขึ้นโดยสอดคล้องกับหลักการที่กำหนด มีผลทางกฎหมายเทียบเท่าการใช้กระดาษ การทำสัญญาโอนลิขสิทธิ์ในชิ้นงาน NFT จึงสามารถทำขึ้นในรูปแบบดิจิทัลและลงลายมือชื่อในรูปแบบอิเล็กทรอนิกส์ได้
ข้อควรระวังสำคัญคือ เราจำเป็นจะต้องอ่าน Terms of Use หรือ Terms & Conditions ของ Marketplace Platform ให้ดี เนื่องจากเจ้าของ Platform อาจกำหนดไว้ว่าลิขสิทธิ์ของ NFT ที่ถูกสรรค์สร้างลงบน Platform ให้ตกเป็นของบริษัทเจ้าของ Platform ก็เป็นได้ เช่นนี้ย่อมทำให้ผู้ขายไม่มีลิขสิทธิ์ใน NFT ตั้งแต่แรก และไม่สามารถโอนไปให้ผู้ซื้อได้เช่นกันนั่นเอง
NFT และ Metaverse ?
จากบทความที่แล้ว 2Ext ได้กล่าวถึงโลกเสมือนจริงที่เรียกว่า Metaverse เอาไว้ หากคิดดูให้ดีเราสามารถเชื่อมโยงทั้งสองประเด็นนี้เข้าหากันได้อีกด้วย โดยอยากให้ลองนึกภาพ Metaverse ซึ่งมีระบบเศรษฐกิจของตัวเอง พวกเรา (ในรูปแบบ Avatar) ที่เดินไปทำงานที่ออฟฟิศใน Metaverse ก็คงอยากจะมีเครื่องแต่งกายสวย ๆ ไม่ว่าจะเป็นเสื้อผ้า กระเป๋า รองเท้า ซึ่งสินค้าบางชิ้นอาจมีความพิเศษเพราะถูกสร้างขึ้นโดย Creator คนใดคนหนึ่ง และมีเพียงชิ้นเดียว นำมาลงขายไว้ในรูปแบบ NFT บนระบบ Blockchain
ความเป็นไปได้ที่ NFT จะถูกต่อยอดไปในโลกเสมือนนั้นอาจเกิดขึ้นได้ไม่ยาก เนื่องจากทุกวันนี้ NFT ไม่ได้มีขึ้นเพื่อเป็นสินค้าที่ถูกซื้อและถูกขายไว้ครอบครองอย่างเดียว จะเห็นได้จากเกมที่มีลักษณะ Play to Earn ที่คนหันมาสนใจเล่นกันมากขึ้นอย่าง Axie Infinity ซึ่งหากเราต้องการเล่นเกมดังกล่าวก็จำเป็นจะต้องซื้อ NFT เพื่อมาสร้างทีม และการเล่นเกมดังกล่าวสามารถทำเงินให้กับผู้เล่นได้อีกด้วย (ดูเพิ่มเติมที่ axieinfinity.com) และไม่นานมานี้ ได้มีการปล่อยภาพโดย Jadu Ar ว่าได้สร้าง Jetpack NFT เพื่อให้ Avatar ของเราสามารถสวมใส่และบินได้ในโลกของ AR และ Metaverse นั่นเอง

When it comes to a world where art has become more tangible and accessible to everyone, including that it is easier to create and sell to each other in the form of electronic data. It is undeniable that the word NFT (Non-Fungible Token) comes up frequently these days. Today, 2Ext will introduce everyone to NFT through various interesting points.
NFT, or Non-Fungible Token, is a token that is underlying on a unique asset, and it is also a digital token within the definition of the law on Digital Asset Business. Moreover, The Notification of the Securities and Exchange Commission No. KorThor. 18/2564 mentioned the NFT as “a digital creation to declare ownership or grant of right in an object or specific right. It is unique and not interchangeable with digital tokens of the same category and type at the equal amount” which we can also view as a definition of NFT in some way as well.
Holding an NFT implies the ownership of assets that are referenced on the Blockchain technology because NFTs are created (“Mint”) from digital collectibles. whether they are derived from physical things or in digital form, such as paintings, photographs, collectibles, etc.
What makes NFT interesting is that the entire processes from creation to transfer of the ownership is recorded on the Blockchain, ensuring transparency, trustworthiness, and traceability (track) to prove who created the NFT in the system (Authentication) and to keep track of who the NFT has been forwarded to. In addition, the creator can specify the amount or quantity of NFT that will be used to produce value in terms of economics (scarcity). NFT therefore is another way for artists to generate more income (Maximizing Earnings).
When it comes to a legal view, NFT is a ready-to-use utility token that is not regulated by the SEC. We can create and sell NFTs without being subject to The Notification of the Securities and Exchange Commission No. GorJor. 15/2561 Re: Public Offering of Digital Tokens (ICO)
However, NFTs face a variety of obstacles including impersonating other people’s NFT works and selling them on the NFT Marketplace, proving the existence of physical objects that NFT references, and obtaining NFT Marketplace business licenses or bringing a work to create an NFT across many platforms. In addition, the SEC also issued an announcement that NFT are not permitted to trade on digital asset exchanges. For this reason, there is still no NFT trading on exchanges licensed by the SEC.
There are further regulations that are associated with NFT, the Copyright, which most lawyers consider holding an NFT does not always imply the copyright in a work. The reason for that is because each work’s author has a unique right to use the copyright, including the ability to determine whether or not to transfer their work’s copyright to others. In this case, the transfer of copyright to others must be done in accordance with the law’s processes, which is made in writing and signed by the assignor and the assignee.
As a result, understanding the process of how each NFT trade can entirely transfer the license from the author or seller to the buyer is extremely challenging for both NFT buyers and sellers on the Marketplace.
However, not all NFT buyers and sellers are required to sign an agreement by writing on physical paper. When we live in a world that is driven by technological growth, along with the existence of electronic transaction rules, E-Document and E-Signature are already supported by the law, allowing electronic data to be created in line with defined principles and has the same legal impact as the use of paper. A copyright assignment agreement for an NFT can therefore be digitized and signed electronically.
A major warning is that we must carefully read the Marketplace Platform’s Terms of Use or Terms & Conditions. If not, the seller will somehow lose the license in the NFT and will not be able to transfer to the buyers since the Platform may stipulate that they own the license of the NFT generated on the Platform.
NFT and Metaverse ?
In the previous article, 2Ext talked about a virtual world called the Metaverse. If you think about it, you can link these two issues together. By imagining the Metaverse having its own economy, we (as Avatar) walking to the offices in Metaverse would like to have beautiful apparel, whether to be clothes, bags, shoes. Some pieces might also have the uniqueness and potential to be sold on NFT through Blockchain system since they were created by one creator and there is only one piece of it.
The possibility of NFT being built into the virtual world seemingly happens because today’s NFT is more than just a commodity to be bought and traded. People are more interested in playing games like Axie Infinity, as evidenced by the Play to Earn game.
